1. GENERAL TERMS AND CONDITIONS

1.1. Gambling operator – limited liability company “BALTENT”, registration number: 40203068277, legal address: Gertrudes Street 12-7, Riga, LV-1010, Latvia, phone number: 63798881 (hereinafter referred to as “SPINS”) is a capital company that organizes gambling in the Republic of Latvia through the website www.spins.lv (hereinafter referred to as “Website”).

1.2. SPINS is a licensed gambling operator in Latvia, which was granted a license No. TI-21 on 30 June 2022 for the organization of interactive gambling form Lotteries and Gambling Supervisory Inspection that is subordinate for the Ministry of Finance of the Republic of Latvia.

1.3. These “Terms of use of Spins.lv Website” are general terms and conditions (hereinafter referred to as “Terms”), which form a legally binding agreement between the User of the Website (hereinafter referred to as “User”) and SPINS. The Terms supersede any other prior agreements between the User and the SPINS.

1.4. By accepting these Terms, the User confirms that he has read them, recognizes them as binding and undertakes to comply with them. All the terms of SPINS website are subject to these Terms and Conditions and in the event of any conflict, these Terms of use shall prevail. The following terms, procedures and policies shall be considered as an integral part of these Terms and Conditions, thus, by agreeing to these Terms, the User confirms all of the following conditions, including, but not limited to, confirms that he fully understands, accepts and agrees to them:

2. GENERAL PART

2.1. SPINS provides interactive gambling services (hereinafter referred to as the Gaming Services) on the Website.

2.2. In order to access and use the services provided by SPINS, the User needs to create a SPINS Games Services account in his name (hereinafter referred to as the User account).

2.3. These Terms apply to any content and services provided at SPINS Website, including, but not limited to, content sent or uploaded by the User to the Website (for example, images, videos), email, correspondence, internal correspondence or chat messages, as well as the disbursement of winnings.

2.4. By checking “I agree to the Terms and Privacy Policy” at the time of registration, the User confirms that he or she agrees to these Terms and Privacy Policy, acknowledges them as binding and undertakes to comply with them.

3. DESCRIPTION OF SERVICES AND CONDITIONS OF PARTICIPATION

3.1. The Website is intended for the provision of interactive gambling services.

3.2. The User must be aware that the interactive games offered contain a success element. When paying the participation fee, it is possible to win, and it depends entirely or partly on the case of success or the circumstances that are not known beforehand. The creation of success elements is based on an internationally recognized random number generator (RNG) or online casino division, where it is determined by card mixing, ball or wheel spin, dice throwing and other randomly generated event outcomes that are not affected by the SPINS in any way.

3.3. The user uses SPINS services at his/her own discretion and free choice, fully assessing the existing risks. The user is aware of and understands that the services provided by SPINS are intended for entertainment purposes only and are used for entertainment purposes only. Use of SPINS services for any other purpose is prohibited.

3.4. In order to create a personal SPINS profile, the User must complete the registration process, indicating all the required information about himself/herself truly and completely.

3.5. The right to register on the SPINS website is available to persons over 18 years of age. SPINS has the right to require the user to provide evidence of his/her age and to refuse access to the services if the user does not submit the requested information.

3.6. By accepting these Terms, the User confirms that he/she:

3.6.1. has reached the age of at least 18 years,

3.6.2. is a natural person (a legal person will not be approved),

3.6.3. is capacitated,

3.6.4. does not act on behalf or in the interests of a third party and is the beneficial owner,

3.6.5. uses only his/her personal data to open a User account,

3.6.6. no funds are used in the User account, the origin of which cannot be justified by the User by producing documents of origin or which are of unlawful origin,

3.6.7. does not use a bank account or bank payment card for transactions which the User has not been authorized to use legally,

3.6.8. is not already registered at SPINS website with an active account,

3.6.9. does not sell or give accounts to others and/or does not purchase accounts from other Users,

3.6.10. the User account is not used to directly or indirectly support illegal activities,

3.6.11. Uses the service only for personal entertainment, not for commercial purposes or as a means of earning a living. The same applies to the use of professional or systematic strategies aimed at generating long-term profit by leveraging statistical or mathematical advantages.

3.6.12. the User has read, fully understood and agrees to all these terms of the Website.

4. REGISTRATION AND ACCOUNT INFORMATION

4.1. The User must confirm his/her consent to the Terms and Privacy Policy placed on the Website before using the services of SPINS website.

4.2. The User may not use the services provided by SPINS if he/she does not fully understand and/or does not agree with the Terms and amendments thereto.

4.3. In order to register and open a User account on SPINS website, the User must provide the following personally identifiable information and data about himself/herself:

4.3.1. Name and surname,

4.3.2. Date of birth,

4.3.3. Personal number,

4.3.4. Sex,

4.3.5. The account number from which the deposit will be made for making the bets and receiving the Gaming Services,

4.3.6. A valid e-mail address,

4.3.7. A valid contact phone,

4.3.8. Username and password,

4.3.9. A statement that he/she has read and agreed to the Terms and Privacy Policy,

4.3.10. A statement that she/he has reached the age of at least 18 years and that the information provided is true,

4.3.11. The maximum amount of bet that the User can make on one gaming day, or the maximum bet that the User can make in one game.

4.4. The User is prohibited from using a username or nickname that may be interpreted as offensive, indecent, provocative or unethical. SPINS has the right to request to change such username at any time.

4.5. If the User wants to increase the maximum bet referred to in Article 4.3.11 of the Terms, SPINS will increase it on the 7th (seventh) day following the receipt of the relevant notification.

4.6. The user guarantees and confirms that the information entered in the registration form is complete, correct and up to date. During the customer's business relationship, the User shall supplement this information at any time, according to the SPINS request.

4.7. After creating an account, the User must verify his/her account using one of the verification methods offered.

4.8. SPINS has the right to request additional information after registration of the User’s account in order to prevent unauthorized, unlawful use of the User’s account or use contrary to the requirements of regulatory enactments.

4.9. SPINS has the right to request evidence from the User regarding his/her age and, for security reasons, to deny access to the Gaming Services if the User does not submit the required evidence.

4.10. SPINS has the right to request a valid identity document and/or self-portrait photo, as well as an account ownership statement for the purposes of extramural identification.

4.11. If the information provided is inaccurate and/or false, SPINS has the right to refuse the User’s registration or to exclude the respective User from further receipt of the Services, as well as to withhold the funds in the account.

4.12. SPINS has the right not to check the User account and not to open SPINS sections in the app if any of the verification conditions are not met.

4.13. The user is allowed to register only one player account and this account must be registered in person using distance identification. The user is prohibited from creating multiple accounts. If SPINS reveals that the User has several accounts, SPINS reserves the right to block and/or merge these accounts, respectively cancel or combine the special offers, bets and winnings awarded.

4.14. Personal data obtained during the opening and use of the User account are stored in accordance with the SPINS Privacy Policy, the laws of the Republic of Latvia and the binding international law of the Republic of Latvia. This data is not disclosed to third parties without the consent of the User, except the cases provided for in the binding regulatory enactments of the Republic of Latvia.

5. CLOSURE OR LIMITATION OF A USER ACCOUNT

5.1. The user wants to close his/her account on his/her initiative:

5.1.1. At any time, the User may request the closure of his/her account.

5.1.2. Before closing the User account, the User must make a request for full disbursement of funds from the User account.

5.1.3. The User must send his/her account closing request electronically, in the form of a application, to the Customer Support Service by e-mail: [email protected] from his/her email address registered in the User account.

5.1.4. The Customer Support Service closes the User account within 1 (one) business day.

5.2. The user wishes to include himself/herself in the Register of self-excluded persons:

5.2.1. At any time, the User has the opportunity to prohibit his/her participation in gambling organized in the Republic of Latvia, including interactive gambling or participation in interactive lotteries, and to include himself/herself in the Register of self-excluded persons (hereinafter referred to as the Register). The prohibition applies to participation in all gambling and lotteries referred to in the Law on Gambling and Lotteries and interactive lotteries. The request to include oneself in the Register may be submitted in writing personally to the Lotteries and Gambling Supervisory Inspection or remotely https://registrs.iaui.gov.lv/.

5.2.2. A user who has registered in the Register cannot log in to his/her gaming account.

5.2.3. Access to the user account may be restored after the User has been removed from the Register. The minimum term for the ban is 12 months from the date when the User is entered in the Register.

5.2.4. All bets made before the User has entered himself/herself in the Register will remain valid.

5.2.5. SPINS shall not be liable for any losses arising when a User opens a new account, with partial or false registration information, as a way to circumvent the limitation of access to the User account.

5.2.6. SPINS is not responsible for any losses incurred by the User when he/she includes himself/herself in the Register.

5.3. SPINS closes or limits the User account:

5.3.1. SPINS reserves the right to immediately and without prior notice or explanation to apply restrictions on the User’s account, block the User account and/or terminate the business relationship with the User in the following or other situations SPIN deems it necessary:

5.3.1.1. The User has violated these Terms and/or the Gaming rules or reasonably suspects such violation,

5.3.1.2. The User uses equipment unsuitable or prohibited for the Gaming Service according to the information available to SPINS,

5.3.1.3. If there is a reasonable suspicion that User’s activity may be considered as fraud or any other violation within the meaning of the Criminal Law of the Republic of Latvia, the Civil Law or any other regulatory enactment binding on the Republic of Latvia,

5.3.1.4. SPINS has a reason to doubt the User’s right to use the User’s account,

5.3.1.5. There is a reasonable suspicion of criminal activity, misuse, fraud or attempt to do so in connection with the Gaming Service,

5.3.1.6. SPINS is forced to act in accordance with the law or the decision of a public authority,

5.3.1.7. SPINS considers it necessary, for example, for security reasons or, in order not to damage the reputation of SPINS, or for other reasons, such as, but not limited to, preventing money laundering and terrorist financing,

5.3.1.8. The user has not submitted the requested information and/or documents upon the SPINS request.

5.3.2. SPINS reserves the right to limit User account as to the entire Gaming Service or to certain games, offers or services.

5.3.3. SPINS reserves the right to deny any person to open an account or set a limit for contributions and/or losses for the above reasons or if SPINS considers it otherwise justified.

5.4. Upon closing the User account in accordance with Article 5.3, all funds therein that are not disputed, shall be paid by SPINS to the User. After the funds have been paid, all relationship between the User and SPINS are deemed to be terminated. The funds in dispute shall be frozen in the User’s account until the investigation is completed and, depending on the results of the investigation, shall be confiscated or returned to the User after the investigation has ended. Confiscation of assets may take place only on the basis of an appropriate order by the competent national supervisory authorities.

5.5. If the User has funds in the User account to which the User is entitled, upon User’s request, SPINS transfers funds to the bank account that the User has registered in the User account and from which a deposit has been made for participation in the Gaming Services at least once. SPINS reserves the right to request the User to confirm his/her identity repeatedly and/or to perform other actions necessary for payment.

5.6. If the User does not contact SPINS within five (5) years after the termination of the customer relationship, User’s rights to the funds in the User account shall be lost.

5.7. In games played without complying with the Gaming rules or otherwise violating the Terms, the funds obtained will not be paid as the User has lost his/her rights to them.

5.8. Account closure in case of a deceased User. If SPINS receives information about User’s death, it has the right to close User’s account if the balance in the User account is 0.00 EUR. If there are funds int he gaming account of a deceased User, SPINS has the right to transfer all funds from this account to the same account in a credit institution from which funds for betting were transferred, and then to close the account. If it is not possible to transfer funds to the gaming account, and the heirs or other legal representatives of the User do not contact SPINS within five (5) years after the date of death of the User, these persons shall lose the right to the funds in the User account. After the mentioned five-year period, those funds shall remain in the ownership of SPINS.

5.9. The principle of responsible gambling is SPINS' commitment to promoting the User's understanding of gambling addiction, which may involve imposing certain restrictions and the User's right to self-register in the Register of self-excluded persons (more information here: https://registrs.iaui.gov.lv). SPINS strives to ensure that gambling is socially acceptable, fair, responsible, and entertaining. If SPINS receives information or suspects, during the transaction monitoring process, that changes in the User's average deposits/withdrawals and gaming patterns indicate an increased risk of gambling addiction or suspicions of problematic gaming habits, SPINS, considering the User's well-being, has the right to decide on the need to close the User's account or restrict access to the User's account for a certain period. When closing the User's account, SPINS will pay out all uncontested funds in it to the User.

6. RIGHTS AND OBLIGATIONS OF SPINS

6.1. SPINS assumes the obligation to manage the User’s data in accordance with applicable laws and regulations.

6.2. SPINS has the right to verify the information provided by the User, including by using third-party databases and requesting copies of personal identification documents.

6.3. SPINS has the right to refuse registration to any person or to close any User account without explaining the reasons for refusal of registration/closing of the account.

6.4. SPINS reserves the right at any time, at its sole discretion, not to accept deposit into the User’s account without any explanation.

6.5. If SPINS has a reasonable suspicion that the User violates any of the articles of the Terms, or User’s actions may be considered illegal activity within the meaning of the laws and regulations of the Republic of Latvia, SPINS has the right not to further accept the bets from the User and close the User account, in accordance with the provisions of Article 5, as well as to the inform law enforcement authorities regarding the established violation.

6.6. If SPINS obtains information that the User has registered with other personal data by performing a case study, SPINS has the right to cancel all bets made by the User and/or cancel all deposits and withdrawals and/or close the User account.

6.7. SPINS has the right to cancel the gaming results or to declare them invalid if the gaming result was caused by a technical error or by fraudulent or illegal actions of the User. If such action leads to a negative balance in the User account, the User must pay the difference by crediting the required amount to his/her User account on the Website.

6.8. SPINS reserves the right to withhold and/or freeze funds in the User account and/or to request repayment of funds obtained by fraud or breach of the gaming rules or these Terms, as a result of criminal acts, manipulation of gambling services, or other unauthorized manner, including attempts to perform such actions, or if there is reasonable suspicion of such action. Confiscation of assets may take place only on the basis of an appropriate order by the competent national supervisory authorities.

6.9. SPINS reserves the right to add new offers, games or features to the Website without notice or to create, delete, suspend, restrict access to any offer, game or feature at any time.

7. RIGHTS AND OBLIGATIONS OF THE USER

7.1. The User must keep his/her username and password confidential in order to prevent other persons from accessing his/her User account.

7.2. The user must immediately change the password and report to SPINS if the username or password is in any way disclosed or threatened.

7.3. The User is solely responsible for the actions performed on SPINS website using the device under his/her username, account and password, regardless of the User’s confirmation or permission.

7.4. The User may not use SPINS service, SPINS website, device, software or information in a manner that interferes with or affects other users.

7.5. The User may not participate in any activity or may not assist any third party in any action that reduces or may interfere with the operation of SPINS Service and the Website.

7.6. The User may not attempt to request or obtain information from other users in any way.

7.7. The User may not upload and/or distribute programs, files or data containing viruses that damage or may affect the operation of the device, software, services and/or website.

7.8. The User does not agree to cooperate with third parties and will not use any device, robot, spider, algorithm, software, routine or other method (or any similar activity) to endanger other users or attempt to interfere with the Service, device, Software, Website, information or any transaction on the Website.

7.9. The User will not share any information containing content that is illegal, intrusive, offensive, threatening, pornographic, racist or ethnically abusive or any material that could constitute or promote an act that would be considered criminal, create civil liability or otherwise violate any laws and regulations of the Republic of Latvia.

7.10. The User is not a SPINS official, director, employee or consultant or representative of SPINS cooperation partners, or a relative of one of the above persons.

7.11. The User will not burden the correct use of the Service, Website, Software, device and/or information, nor engage or send SPINS, nor will engage in surveys, contests, chain letters, spam letters or mass mail messages.

7.12. The User is obliged to immediately inform SPINS of any changes to his/her personal information, contact information or bank account information. The User must inform SPINS in writing of any changes in the name, surname and/or personal number.

7.13. The User is obliged to settle accounts with SPINS in case of any outstanding obligations. The User confirms that he/she will not intentionally cancel, reject or withdraw any transaction and that the User will cover all losses that will occur if the User cancels, rejects or withdraws the transaction.

7.14. If the User discovers an error or other system failure, he/she must log off from the gambling service immediately. The User is prohibited from using gambling system errors or failures in order to make a profit. The User shall not be entitled to funds obtained as a result of errors or errors or technical problems. The User must inform SPINS immediately if he/she has noticed a mistake, a ban or any other error in connection with the Gaming Service.

7.15. If any amount is paid by error to User account, the User must inform SPINS about it within 24 (twenty-four) hours from the moment the User noticed the error or reasonably can consider that he/she has noticed the error. SPINS will provide the User with a written explanation of the nature and amount of the erroneous transaction. Any amounts paid by error into the User’s account will be considered invalid and, if there is sufficient balance of funds in the User account, SPINS will deduct them from the User account. If there is insufficient balance of funds in the User account, the User is obliged to immediately replenish the User account by returning to SPINS amount equivalent to the amount wrongly paid. The amount paid by error shall not be valid for placing bets. SPINS reserves the right to cancel all the corresponding bets and transactions of the amount paid by error . To avoid doubt, if balance is available in the User account and the amount is added incorrectly, the User is entitled to place bets and request a payout until the balance of the User account is greater than the amount paid by error.

7.16. In the event that SPINS transfers by error any amounts without a legal basis to the User's bank account, the User must inform SPINS about it within 24 (twenty-four) hours from the moment the User noticed the error or it can be reasonably believed that he/she has noticed the error. The User undertakes not to use this amount or part thereof for the receipt of services, purchase of other goods or services or for settlements with other persons and to ensure its full return under the control of the SPINS.

7.17. The User agrees, confirms and guarantees that he/she will not perform the cancellation, withdrawal of the deposit or any other action related to withdrawal of the User account replenishment transaction. If any of the above situations occur, the User agrees to compensate the losses of SPINS in connection with such actions and to compensate for any losses caused by the recovery of the amount of losses.

8. BETS AND BET ACCEPTANCE PROCEDURES

8.1. SPINS Website accept bets on casino games and online (Live) casino games.

8.2. In the event of a technical error related to the Website or Gaming Services to which bets can be made, SPIN reserves the right to cancel the respective bets.

8.3. SPINS only accept bets made from a registered User’s gaming account via the Internet and made in accordance with the Terms Bets submitted in another format (by post, by email or otherwise) will not be accepted and any bet outcome not in accordance with these Terms will be deemed to be canceled at the discretion of SPINS.

8.4. The use of artificial intelligence or software (often known as "bots") is prohibited. All bets made or attempted to be made using this method will be canceled and the relevant User accounts will be closed.

8.5. Bets will only be valid if the User’s name and password are correct and if the User account has sufficient balance to make a bet.

8.6. The User shall be fully responsible for all actions, transactions and events that occur in the User account (whether the action, transaction or event is authorized by the User or not) and which are related to:

8.6.1. name and surname of the User; and/or,

8.6.2. number of User account; and/or

8.6.3. username or password of User.

8.7. The user must make sure that all the betting data made is correct. Once the bet has been made, the User can no longer cancel, withdraw or change it.

8.8. All bets are recorded and registered in SPINS database. The entry of SPINS database is the final proof of all transactions in relation to the Services and all bets made by the User.

8.9. The bet will be deemed accepted when the transaction identification will be displayed in the transaction history of the User account.

8.10. For any bet and its related transaction, SPINS decision is final and determinative.

8.11. The User acknowledges that the services offered on the Website include random number generator (RNG) or online division, which determines the mixing and distribution of cards, ball or wheel spinning, dice, game score and other randomly generated events that are part of the Service. The User accepts these randomly generated events, which include card mixing and distribution, ball or wheel spinning, dice, game score and other randomly generated events, which are determined by RNG or online division, as a final and decisive result.

8.12. Won games will only be considered valid if they are played in accordance with the applicable rules of the game. Besides, all the time the game is played, the user's computer must be connected to the game server.

9. INTERRUPTED OR FAILED GAMES

9.1. SPINS are not responsible for any type of crashes, server malfunctions, delays or other technical disruptions affecting the availability of services.

9.2. SPINS shall not be liable for damages or losses which are considered or alleged to have occurred due to the connectivity of the website or its content, including, but not limited to, delays or interruptions in operations or activities, loss or damage to data, network interruption or any other error.

9.3. In case of damage to the casino system or gaming system, all bets will be canceled.

9.4. If the game is started and the bet is made, but the game round is interrupted due to system error and it is not possible to complete or fix the result, SPINS will return the amount of this bet back to the User account.

10. DISBURSEMENTS AND CONTRIBUTIONS

10.1. Basic rules

10.1.1. The euro (€) is the only available currency on the platform. Other currencies are not accepted.

10.1.2. SPINS allows only bets made with real money. Before games, the User must make a deposit in his/her User account using the payment methods available on the Website.

10.1.3. SPINS reserves the right at its sole discretion to change the available payment methods on the website at any time.

10.1.4. SPINS cannot guarantee that all payment methods indicated on the website will be available at all times.

10.1.5. The User has the right to use only payment accounts opened in his/her own name and other means of payment as a natural person. The User is not permitted to use payment accounts opened on behalf of third parties and other means of payment.

10.1.6. Winnings and potential game payouts/betting refunds will be automatically credited to the User’s account. At the request of the User, the funds held in the User account may be transferred to the same account in credit institution from which the money was deposited for the purpose of making bets.

10.1.7. The winnings will be disbursed in accordance with the procedures laid down in the Gambling and Lotteries Law.

10.1.8. The funds deposited in the User account shall be used only in the Gaming Services offered by SPINS.

10.1.9. SPINS does not perform any actions with the credit balance of the User account, except:

10.1.9.1. withholding the funds from the User account required for the bets made by the User;

10.1.9.2. withholding a commission fee for the deposit and disbursement of certain funds;

10.1.9.3. in compliance with the requirements of laws and regulations and/or the cases referred to in the Terms.

10.1.10. SPINS maintains and manages funds in the User account in a safe and lawful manner, in accordance with generally accepted Asset Management Guidelines, including the transfer of funds to financial institutions and/or payment solution providers.

10.2. Contributions

10.2.1. If the User has made contribution using the “Bank transfer” method and the transfer has been made from a bank account registered abroad, which is not registered in one of the Member States of the European Union, the amount of the deposit will be fully returned to the sender. Payment will not be accepted.

10.2.2. If a payment card is used as a type of payment, the User will have to send SPINS a payment order or a statement from the credit institution of the payment card issuer, which shows the account number attached to the payment card, the name, surname of the account owner and the amount of the transaction with SPINS. SPINS reserves all rights to reject transactions in cases where the information does not match. Also, User contributions are not allowed from a prepaid payment card that does not have a current account and is able to make transactions on the Internet are allowed. If the User has made this type of deposit in his/her User account, the winnings of the User are not accounted for uncontested, and SPINS reserves the right to cancel this winnings.

10.2.3. The User is allowed to use a total of 5 (five) payment methods, i.e. Bank transfer (account) and payment card, where one of the payment method categories (Bank transfer (account) or payment card) cannot be more than 3 (three).

10.2.4. All amounts transferred to the User account (SPINS as a representative on behalf of the User) are stored free of charge and interest during the storage of all funds in the account while the account is active.

10.2.5. After making the deposit, SPINS performs the necessary checks. The time until the deposit is credited to SPINS account depends on the chosen payment method. As soon as confirmation of the transaction is received from the payment provider, the User account is credited immediately.

10.2.6. SPINS shall not be liable for any errors that may occur during the payment process to or from the User account. SPINS has the right to cancel any bet or transaction related to such errors in the payment process. The User is obliged to immediately inform SPINS if the User has noticed that the User balance does not correspond to the intended.

10.2.7. The User is prohibited from placing a higher bets than the funds available in the User account. SPINS does not accept the User’s bet if there is insufficient funds in the User account.

10.2.8. The minimum and maximum amount of the deposit for each type of payment is indicated. SPINS reserves the right to amend the minimum and maximum amount of the deposit at its sole discretion.

10.3. Disbursements

10.3.1. The withdrawal of funds from the User account shall take place at the request of the User. In order to claim the winning, the User opens the “Disbursement” section in his/her gaming account and indicates the amount requested, then presses the “Disburse” button. The User will no longer be able to cancel the payout of the claimed winnings. Winnings can be applied for payment within 12 (twelve) months from the date of winning.

10.3.2. The amount requested must be at least EUR 10.00 (ten euros), except the cases referred to in Article 5.1.2. of these Terms.

10.3.3. Disbursements are only made to the bank account registered in the name of the User, from which the deposit is made for the bet.

10.3.4. No disbursements are made to the account of another User or a third party.

10.3.5. SPINS may extend the disbursement period in case of special circumstances where there is a suspicion of fraudulent behavior or money laundering and/or terrorist financing. As a result of such checks, SPINS has the right to withhold funds in the User account, and it is not responsible for any disbursement delays or other delays caused by these checks. In case of suspicious activity, the inspection and approval may take up to 6 (six) months. This period may be affected by the applicable law. During the period of completion of the process, the requested funds are stored in User account as frozen funds.

10.3.6. If the User requests the disbursement of funds from his/her User account, which has not been modified before using the Gaming Services offered by SPINS, SPINS reserves the right not to confirm the disbursement until the respective funds have been circulated at least once by placing bets on the Gaming Services offered by SPINS.

10.3.7. SPINS shall be entitled to reject and/or suspend the disbursement or further use of funds if the funds deposited have not been used for Gaming Services until such time as the purpose of such action has been verified and, if necessary, the origin of those funds deposited has been verified.

10.3.8. The User is responsible for the accuracy of the information provided. In the event that inaccurate information is provided and a disbursement is made, the User has no right to make claims or objections against SPINS.

10.3.9. Disbursement of money from User account is approved and performed within 1 (one) workday, provided that all necessary checks have been carried out. The User may request a maximum of 3 (three) disbursements per calendar day. If more that 3 (three) disbursements are requested, SPINS reserves the right to transfer the disbursement to the next calendar day.

10.3.10. SPINS reserves the right to verify the User’s right to receive the disbursement and arrest the disbursement in case of doubt.

10.3.11. SPINS has the right to request any additional information from the User that in case of doubt would confirm the accuracy of the data and the right to receive the disbursement.

10.3.12. The User is solely responsible for any taxes and fees that may arise in connection with the winnings. If, pursuant to the law, the gambling winnings are taxable, SPINS will apply the relevant law and will withhold tax at the time of disbursement, collecting it on behalf of the User and transfer it to the State budget.

10.3.13. Pursuant to the law “On Personal Income Tax”, SPINS is obliged to withhold a tax from disbursements made by the User, which exceed EUR 3,000.00 (three thousand euros). The law prescribes that all winnings that are confirmed, which exceed EUR 3,000.00 (three thousand euros) and are disbursed in one payment or in several payments during one session, are subject to tax of 25,5%. The tax is calculated from the amount of the winnings approved by the User and is deducted at the time of disbursement, minus the non-taxable amount of EUR 3,000.00 (three thousand euros), and the remaining part of the winnings is subject to a tax of 25,5%. In respect to the disbursements made by the User, which exceed the maximum amount of mandatory contributions laid down in the Law on State Social Insurance, a tax rate of 33% shall be applied. The user is obliged to submit an annual income statement and personally pay the tax from the excess amount of the disbursed winnings.

10.3.14. SPINS does not offer advice on tax and/or legal matters. Users who need information on taxes or legal matters are advised to contact competent persons or competent authorities in Latvia.

11. MONITORING

11.1. SPINS is a subject in accordance with the Law on the Prevention of Money Laundering and Terrorism and Proliferation Financing (hereinafter referred to as the AML/CTF Law), and in accordance with the requirements of this Law on AML/CTF, SPINS is obliged to regularly update and maintain up-to-date information about its clients (users).

11.2. The User is obliged, in accordance with SPINS request, to submit a copy of the personal identification document and other necessary additional documents related to the User’s activities in the User account and the origin of the funds deposited by the User, as well as to provide answers and information to the questions specified in the AML/CTF Law that are necessary for the User’s inquiry.

11.3. If necessary, SPINS may perform additional verification to conduct the User’s research, by organizing an interview by telephone or using other electronic means of communication, or directly in SPINS office. The user is informed in advance of the need for such verification and must arrive for an interview within 14 (fourteen) days from the date of sending the notification. The User account may be blocked, and the funds in the User account may be frozen until the User verification is carried out.

12. PROMOTIONS AND OFFERS

12.1. SPINS may, under certain conditions, offer promotions and special offers to the User. Terms and Conditions regarding special offers are published on SPINS website or sent to the registered email address of the User.

12.2. If it is possible to receive a special offer by participating in a game, the Website will provide a notice of this offer, additional winnings and terms of receiving them before the game starts. SPINS reserves the right to change any special offer and additional winnings without prior notice.

12.3. Unless otherwise stated, each special offer is granted to the User only once.

12.4. All offers are intended for entertainment, and SPINS may limit the participation of the User in various special offers or at all.

12.5. SPINS reserves the right at its sole discretion to change, cancel, revoke or reject any special offer or its terms at any time. SPINS decision is final and binding.

12.6. SPINS special offers are valid only on SPINS Website.

12.7. SPINS special offers must be used within 3 (three) days from the date of application, except the cases where the terms of the offer have stipulated otherwise.

12.8. SPINS has the right to cancel the conformity of special offer to the conditions, amount and any related special offer winnings to the User or group of users, if there is a suspicion of making false bets, which may lead to the acquisition of guaranteed profit or violation of the rules regarding the special offer. Suspicious activities may include, but are not limited to, joint betting strategies using identical events or bets on opposite sides of multiple User accounts (for example, at one Live Casino Roulette table), a market, choices that can be identified in one or more accounts.

12.9. Where obvious links are found between multiple Users, similar betting methods or other unfair betting practices that abuse or manipulate one or more special offers offered for the purpose of obtaining a guaranteed return, SPINS may cancel those special offers and the corresponding winnings. SPINS has the right to monitor abuse of offers throughout the Website.

12.10. If SPINS has suspicion or has found that the User has used, uses or attempts to abuse special offers, SPINS is entitled to block, deny, suspend, withhold or cancel the User account.

12.11. If after the examination carried out by SPINS it is found that the User or group of Users has abused special offers, SPINS reserves the right to withdraw compliance with these special offers, the respective amount of the special offer and all related winnings, as well as to prohibit further access to the account or accounts of the User or group of Users.

13. SAFETY CONSIDERATIONS

10.3.1. The withdrawal of funds from the User account shall take place at the request of the User. In order to claim the winning, the User opens the “Disbursement” section in his/her gaming account and indicates the amount requested, then presses the “Disburse” button. The User will no longer be able to cancel the payout of the claimed winnings. Winnings can be applied for payment within 12 (twelve) months from the date of winning.

14. E-MAIL AND SMS MESSAGES

14.1. SPINS may send notifications related to the User account and legal issues to the registered e-mail address of the User, which the User used for registration at SPINS, or in SMS format to the mobile phone number indicated by the User at the time of registration at the SPINS.

14.2. Any such notice from SPINS will be deemed to have been received after twenty-four (24) hours from the moment of sending.

15. CONFIDENTIALITY

15.1. SPINS processes all personal data in accordance with applicable laws and regulations. SPINS may disclose personal data only in accordance with the PRIVACY POLICY or regulatory requirements and only to authorized persons who are related to the processing of personal data and have obligations to respect confidentiality, or if they are subject to statutory confidentiality requirements.

16. SUBMISSION OF COMPLAINTS

16.1. If the User has questions about the Website or Service or if the User suspects errors in the provided Service, the User must contact SPINS Support Service by sending a letter to SPINS email address: [email protected] or by contacting through Live Chat.

16.2. The User may submit a complaint or claim in written form within 15 workdays from the moment of occurrence of the event by sending it to SIA “BALTENT”, Gertrudes Street 12-7,, LV-1010, Riga, or electronically signed letter to the e-mail address: [email protected]. SPINS reviews the complaint or claim and provides the User with a reply within 10 workdays from the moment of receipt of the relevant document.

16.3. The answer or decision by SPINS is final.

16.4. SPINS tries to respond to the User’s complaint within the shortest possible time.

17. INTELLECTUAL PROPERTY

17.1. The content of the entire Website is the sole property of SPINS or SPINS partners.

17.2. The User may use the content and information available on the Website only for personal use and refrain from using the intellectual property in other ways.

17.3. The content of gaming services as intellectual and industrial property is protected by applicable laws and regulations and international copyright laws and treaties. Any reproduction or distribution of SPINS Gaming Service materials, including, but not limited to, text, graphics, audio, video and computer programs of all kinds is strictly prohibited, unless expressly stated otherwise. 17.4. 18. RIGHTS OF THIRD PARTIES

18.2. Nothing in these Terms shall create any right or benefit in favor of any third party other than the User or SPINS, either in accordance with the law or otherwise.

19. FORCE MAJEURE

19.1. SPINS shall not be liable for any loss resulting from force majeure or other similar circumstances which directly or indirectly affect SPINS and unreasonably hinder the operation of SPINS (force majeure). Examples of force majeure include real or potential strikes, government actions, new national laws, war or war threats, sabotage, mass rebellion, demonstrations, fires, storms, floods, explosions, earthquakes, restrictions on the supply of materials or resources, inability to obtain appropriate permits, accidents and defects in electricity or telecommunications networks.

19.2. Force majeure or other event which cannot be affected by SPINS and which hinders or makes it difficult to maintain the service, gives SPINS the right to suspend or limit the service for an indefinite period of time until the situation changes.

20. AMENDMENTS TO THE TERMS OR GAMING RULES

20.1. SPINS has the right to unilaterally amend or supplement these Terms by notifying the User by e-mail and/or posting amendments to the Website.

20.2. SPINS reserves the right to change, update or modify the Terms (or any part thereof), and these changes will be displayed to the User by posting them in the relevant Terms.

20.3. The changed, updated or modified Terms will enter into force from the moment of their publication on the Website. Further use of the website and services by the User is considered to be a confirmation of the amended or updated Terms.

20.4. The User is obliged to review the Terms regularly and at least once a month and to follow the changes made.

21.4. SPINS does not provide any express or implied warranty of User’s legal right to receive the services provided by SPINS, and none of SPINS employees shall be entitled to provide any representation or warranty of this kind.

21.5. SPINS does not assume and does not accept any liability for damages caused to the User or third parties in connection with:

21.5.1. use of third-party payment means in User account,

21.5.2. a disbursement request from User account to a third-party bank account,

21.5.3. incorrect details indicated in the disbursement request from the User account,

21.5.4. the use of third-party permission in the User account,

21.5.5. unauthorized use of third-party User account.

21.5.6. use of third-party data.

21.6. SPINS do not acknowledge and accept any liability for any damage caused to the User or third parties in connection with:

21.6.1. incorrect interpretation, inaccurate translation, spelling, reading, payment error, the cancellation of technical deficiencies, events or force majeure,

21.6.2. Non-compliance with the Terms,

21.6.3. a criminal offense,

21.6.4. advice provided by SPINS,

21.7. SPINS shall be liable only for direct losses caused with purpose or gross negligence.

21.8. Participation of user in the services provided by SPINS means the acceptance of certain knowledge of technical capabilities, response time, the transmission of information in an interactive environment, the risk of communication interruption and the general risks associated with any connection and transmission error.

21.8.1. A deficiency as to the protection of personal data.

21.8.2. the risk of contamination with viruses circulating on the Internet.

21.9. The Website may contain links to websites maintained by third parties that are not controlled by SPINS. Links to such third-party websites are posted only for the convenience of the User. SPINS shall not be liable for any damage caused to the User through third-party websites.

21.10. SPINS is not responsible for the content created by the User or advertising insert, but SPINS reserves the right to delete content that is contrary to laws and regulations.

21.11. If the User violates the Terms or regulatory enactments, SPINS shall not be liable for any claims and losses, costs or damages of third parties arising therefrom.

21.12. SPINS shall not be liable for the services provided on the Website in respect of completeness, accuracy or quality and shall not be liable for any loss or damage caused by software errors found on the Website.

21.13. SPINS shall not be obliged to refund the bets paid to the User and shall not be liable for losses, including lost winnings, which may occur due to a lost connection, if inappropriate hardware, software and/or configuration of the connection is used by the User.

21.14. SPINS is not responsible for any problems related to equipment or software that may affect the operation of the Gaming Services, prevent the execution of betting instructions and/or betting registration, or prevent the User from contacting SPINS (regardless of where and how these devices are controlled).

21.15. SPINS is not responsible for User’s website activities and does not guarantee any losses incurred by the User in connection with the use of the Website.

21.16. SPINS does not assume any liability for any damages arising from the use of User’s website.

21.17. 22. SUBCONTRACTORS

22.1. SPINS reserves the right to use subcontractors. SPINS may collect, update and verify all personal information independently or through third-party services without prior agreement with the User.

23. VALIDITY PERIOD OF THE TERMS

23.1. These Terms between the SPINS and the User shall remain in force until further notice.

24. OTHER PROVISIONS

24.1. The titles of the Terms are for convenience only and are not of any other meaning and are not used for interpretation purposes.

24.2. If any Article of the Terms becomes invalid, it shall not affect the validity of the other provisions.

24.3. These Terms are drawn up in Latvian. The legal force in business relationship between the user and SPINS is limited to the version of the Terms in Latvian. If the content of these Terms in another language differs from the Terms in Latvian language, the Terms in Latvian language prevail. This also applies to the gaming rules, any texts on the Website, as well as information regarding bonus offers and conditions.
